1. Acceptance of Terms

These Terms of Service ("Terms") constitute a binding legal agreement between you and IQuly ("we," "us," or "our"). By using our website, AI video generation tools, and related services (the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

2. Service Description and AI Usage

IQuly provides a platform that uses Artificial Intelligence to generate video and audio content ("Output") based on text, image, and audio inputs provided by you ("Input").

  • Nature of AI: You acknowledge that AI generation is probabilistic and may produce variable results. We do not guarantee that the Output will be error-free or completely accurate.
  • Suitability: You are responsible for reviewing all Output before using it for commercial or public purposes to ensure it meets your standards and legal obligations.

3. Ownership and Rights

A. Your Content

You retain all ownership rights to the Input you upload. By uploading Input, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process your Input solely for the purpose of generating your Output and improving our services (unless you have a specific enterprise agreement stating otherwise).

B. Generated Output

Subject to your compliance with these Terms and payment of applicable fees, IQuly assigns to you all right, title, and interest in and to the specific Output generated by you using the Services. This means you own the videos you create and can use them for commercial purposes.

4. Acceptable Use Policy

You agree strictly NOT to use the Services to generate content that:

  • Is illegal, pornographic, defamatory, or promotes hate speech or violence.
  • Infringes on the intellectual property, privacy, or publicity rights of any third party.
  • Impersonation/Deepfakes: Uses the voice or likeness of any real person without their explicit written consent. We reserve the right to ban users attempting to clone voices or generate avatars of public figures or individuals without authorization.

5. Subscription and Credits

  • Fees: Services are available via subscription or credit purchase as described on our pricing page. All fees are non-refundable except as required by law.
  • Credits: Credits purchased or allocated may expire at the end of a billing cycle or roll over for a limited period (e.g., 3 months) as specified in your plan details. Unused credits are forfeited upon account cancellation.
  • Cancellation: You may cancel your subscription at any time. Your access will continue until the end of the current billing period.

6. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL IQULY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

7. Termination

We reserve the right to suspend or terminate your access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Services, us, or third parties, or for any other reason.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which IQuly is incorporated, without regard to its conflict of law provisions.
