1. Acceptance of Terms

These Terms of Service ("Terms") constitute a binding legal agreement between you and IQuly ("we," "us," or "our"). By using our website, hosted OpenClaw deployment platform, and related services (the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

2. Service Description

IQuly provides a managed cloud platform to provision and run OpenClaw instances, configure integrations, and operate agent workflows without self-managing server infrastructure.

  • Managed Infrastructure: We host and operate the underlying compute environment, but you are responsible for how your agents are configured and used.
  • Provider Dependencies: Some service components rely on third-party infrastructure, networking, and service providers. Availability, performance, and specific technical characteristics may change based on those dependencies.
  • No Guaranteed Outcomes: We do not guarantee any specific business, operational, or model outcome from your use of OpenClaw or third-party integrations.

3. Ownership and Rights

A. Your Content and Data

You retain ownership of your prompts, configurations, credentials, files, logs, and other data you submit to or generate through the Services ("Customer Data"). You grant us a limited, worldwide, non-exclusive, royalty-free license to host, process, and transmit Customer Data only as needed to provide, secure, and improve the Services.

B. OpenClaw and Platform Rights

OpenClaw and related software components are provided under their applicable licenses. IQuly retains all rights in the Services, platform operations, and related intellectual property not expressly granted to you under these Terms.

4. Acceptable Use Policy

You agree not to use the Services to:

  • Violate any law or regulation, including sanctions, export controls, privacy, or intellectual property laws.
  • Attempt unauthorized access, scanning, disruption, abuse, or interference with the platform or other customers.
  • Deploy malware, phishing systems, spam operations, credential theft tooling, or other harmful workflows.
  • Operate denial-of-service workflows, open relays, abusive bulk messaging, or cryptocurrency mining workloads on the Services.
  • Run workloads that infringe third-party rights or violate third-party service terms connected to your instance.

5. Infrastructure and Third-Party Provider Terms

We rely on third-party infrastructure and platform partners to deliver portions of the Services. By using IQuly, you agree to comply with all technical, security, abuse, and acceptable-use restrictions that apply to those underlying services.

  • Pass-Through Rules: We may enforce upstream provider restrictions, limits, or required remediation steps on your account or instances.
  • Technical Changes: We may reassign IP addresses, ports, regions, or infrastructure resources when reasonably required for operations, security, compliance, or upstream requirements.
  • Support Scope: Additional support or recovery work outside standard service scope may require additional fees.

6. Subscriptions and Billing

  • Per-Instance Plans: Pricing is based on the instance plan you select (for example, Budget, Balanced, or Pro) and any other charges shown at checkout.
  • Recurring Charges: Paid plans renew automatically by billing cycle until canceled. You authorize us and our payment processor (Stripe) to charge your payment method for recurring fees.
  • Cancellation: You may cancel at any time through billing settings or Stripe customer portal. Cancellation typically takes effect at the end of the active billing period unless otherwise required by law.
  • Refunds: Fees are non-refundable except where required by applicable law or explicitly stated by us in writing.

7. Availability, Maintenance, and Changes

We aim to provide reliable service, but we do not guarantee uninterrupted availability or error-free operation. We may perform maintenance, apply patches, change features, or suspend access as needed for security, legal compliance, or platform stability.

8. Customer Responsibilities (Security and Backups)

You are responsible for securing your instance configuration, credentials, and connected integrations. You must maintain regular backups of your data and configurations in locations independent from your IQuly instance.

9. Suspension and Termination

We may suspend or terminate access to some or all Services if you violate these Terms, create security or legal risk, or fail to pay applicable fees. We may also take immediate action where required by upstream providers, legal process, or abuse-prevention obligations. You may stop using the Services at any time.

10. Indemnification

You agree to defend, indemnify, and hold harmless IQuly, its affiliates, and service providers from claims, liabilities, damages, losses, and reasonable costs (including legal fees) arising out of or related to your Customer Data, your use of the Services, your users, or your violation of these Terms or applicable law.

11. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IQULY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. WE ARE NOT RESPONSIBLE FOR LOSS OR DAMAGE CAUSED BY THIRD-PARTY PROVIDERS, INTERNET OR NETWORK FAILURES, OR CUSTOMER MISCONFIGURATION. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO IQULY IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Governing Law

These Terms are governed by the laws of the jurisdiction where IQuly is incorporated, excluding conflict-of-law rules.
